HIPAA-eligible configurations for call and message handling are available exclusively on our Synthetic Intelligence OS plan or under a custom enterprise agreement, and only where a Business Associate Agreement (BAA) has been executed between you and Agentis. Unless a BAA is in place, the Services must not be used to create, receive, store, or transmit protected health information (PHI). You are solely responsible for determining whether your use of the Services complies with the regulatory requirements applicable to your business.

1. Services

Agentis provides AI-powered agent services for businesses, including automated call answering, WhatsApp and messaging responses, appointment scheduling, inquiry handling, lead follow-up, call routing, and related communication services. Our agents are AI-powered — they are not human agents. Agentis does not provide medical, legal, financial, or other professional advice, and does not replace licensed professionals in regulated industries.

2. Subscription & Billing

Services are billed on a monthly or annual basis following any initial setup or implementation fee. The AI Revenue Audit (the "Audit") is a one-time workflow review and implementation planning service purchased separately. Pricing is as displayed on our website at the time of enrollment. We reserve the right to adjust pricing with 30 days written notice. All fees are charged in US dollars unless otherwise stated.

3. Subscriptions — Cancellation & Refunds

You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of the current billing period; you retain access until that date. We do not provide prorated refunds for partial billing periods. 30-Day Guarantee (Standalone Agent plans only). If you are not satisfied with your first subscription to a Standalone Agent plan, you may request a refund of your first month's subscription fee by written notice within 30 days of your initial purchase. The guarantee: (a) applies to first-time customers, once per customer; (b) applies only to Standalone Agent plans — it does not apply to Department Modules, the Synthetic Intelligence OS, custom or bespoke engagements, add-ons, or the AI Revenue Audit; (c) does not cover usage-based charges (including telephony and third-party service usage), setup fees, or one-time implementation fees, which are non-refundable. AI Revenue Audit. The Audit fee is non-refundable once the Audit has been scheduled and preparation has begun. Where stated at purchase, the Audit fee is credited toward your first month of an eligible subscription.

4. AI Disclosure

Our agents are AI-powered and use artificial intelligence to process and respond to calls, messages, and other interactions. While our AI is designed to be accurate and helpful, it may occasionally misunderstand or misinterpret requests. Agentis is not a substitute for human judgment, and users interacting with our service are interacting with an AI system, not a human operator.

5. Data Handling

Interactions handled by Agentis may be recorded, transcribed, or logged for service delivery and quality improvement purposes. Recordings, transcripts, messages, and associated metadata are stored securely and retained in accordance with our Privacy Policy. By using our service, you consent to the recording and processing of interactions handled through your Agentis-enabled channels.

6. Third-Party Services

Agentis relies on third-party providers to deliver its services, including but not limited to: real-time voice and communications infrastructure; speech-to-text transcription; text-to-speech voice generation; and conversational AI models. Your use of Agentis is also subject to the terms and policies of these third-party providers. We are not responsible for the actions or omissions of these third-party services.

7. Liability Limitations

Agentis is provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free service. To the maximum extent permitted by law, Agentis and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, profits, or data arising from your use of our service. Our total liability for any claim arising from these terms shall not exceed the fees paid by you in the twelve months preceding the claim.

8. Termination

Either party may terminate this agreement at any time. You may cancel by contacting us or through your account dashboard. We may suspend or terminate your access if you violate these terms, fail to pay fees, or use the service in a manner that could harm Agentis or other users. Upon termination, your data will be retained for 90 days and then permanently deleted, unless otherwise required by law.

9. Autonomy Settings & Authorization

The Services allow you to configure the autonomy level of AI agents acting on your behalf, including settings that permit agents to act automatically ("Auto"), act with notification to you ("Notify"), or act only with your prior approval ("Approve"). Actions taken by AI agents in accordance with the autonomy settings you have configured are deemed authorized by you. You are responsible for reviewing and maintaining your autonomy settings and for all instructions, approvals, and configurations provided through your account, including via linked messaging channels (e.g., Telegram). Agentis maintains an audit log of agent actions, which constitutes the record of such activity.

10. No Guarantee of Results

While the Services are designed to help capture leads and handle customer communications, Agentis does not guarantee any particular business outcome, including any level of lead capture, response, conversion, appointment volume, or revenue.

11. AI Output Disclaimer

The Services use artificial intelligence, which is probabilistic by nature. Outputs may occasionally be inaccurate, incomplete, or inappropriate despite safeguards. The Services do not provide legal, medical, financial, or other professional advice. You are responsible for reviewing material communications and for the accuracy of the business information you provide (including your Company Brain content), which agents rely on to respond on your behalf.

12. Third-Party Dependencies & Availability

The Services depend on third-party providers (including telephony, real-time communications, speech, and AI model providers). Agentis does not warrant uninterrupted availability and is not responsible for failures, outages, or changes attributable to third-party providers. Scheduled SLAs, where offered, are stated in your order form.

13. Customer Compliance Responsibilities

You are responsible for your use of the Services in compliance with applicable law, including: obtaining any required consents for call recording or monitoring in your jurisdiction(s); compliance with telemarketing and outbound communication laws (including the TCPA) for any outbound campaigns you enable; and any obligation to disclose the use of AI in communications with your customers. Agentis provides configurable disclosure and consent features, but their legal sufficiency for your business is your responsibility.

14. Intellectual Property & Data Ownership

Agentis retains all right, title, and interest in the Services, platform, software, agent frameworks, and documentation. You retain ownership of your business data and content you provide (including Company Brain content and your customer communications). You grant Agentis a license to process such data solely to provide and improve the Services, consistent with our Privacy Policy.

15. Indemnity

You agree to indemnify, defend, and hold harmless Agentis and its affiliates from any claims, damages, or expenses arising out of: (a) your business data, content, or customer communications processed through the Services; (b) the autonomy settings, approvals, and configurations you authorize; and (c) your failure to comply with applicable laws or your obligations under these Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Wyoming, and each party consents to the exclusive jurisdiction of those courts.

17. Beta Features

Features identified as beta, preview, or early access are provided as-is, may change or be withdrawn, and are excluded from any SLA.
